Governing Document
Governing Document adopted on the 11th of September 2012 in the presence of the persons listed in the schedule hereto.
The name of the organisation is ‘Church Music Dublin’.
The organisation takes over the assets and continues the functions of the organisation known as Dublin Diocesan Church Music Committee.
The main object of Church Music Dublin, hereinafter referred to as CMD, is to promote education and training in the practice of music in churches in the United Dioceses of Dublin and Glendalough and elsewhere.
Subject to and in furtherance of the said main object, CMD may
co-operate with other bodies,
raise funds and invite and receive subscriptions from any person or persons,
do all other things as may further the main object of CMD.
CMD shall be governed and its activities shall be administered and managed by an Executive Committee (‘the Executive’), which shall consist of a Chairperson and not more than fourteen other persons.
The chairperson shall be appointed from time to time by the Dublin and Glendalough Diocesan Councils.
Other members of the Executive shall be appointed by the Chairperson, in consultation with the existing members. Such other persons shall hold office for terms not exceeding five years, which may be renewed.
The Executive
shall appoint an Honorary Secretary and an Honorary Treasurer,
shall keep minutes of all decisions taken at meetings of the Executive,
shall maintain bank accounts in the name of Church Music Dublin, which accounts shall be administered in accordance with resolutions passed from time to time,
may engage such staff as it considers appropriate and may manage and dismiss such staff,
shall report annually on its activities to the Dublin and Glendalough Diocesan Councils.
The income and property of CMD shall be applied solely towards the promotion of its main object as set forth in paragraph 3, and no portion thereof shall be paid or transferred directly or indirectly to any member of the Executive. Provided that nothing herein shall prevent the payment in good faith of reasonable and proper remuneration to any person (including members of the Executive) engaged to provide services to CMD, or of reasonable and proper out-of-pocket expenses incurred by any member of the Executive in connection with attendance to any matter affecting CMD.
Alterations to this Constitution may be made by a two-thirds majority of the members of the Executive present and voting at a meeting called for the purpose of which at least 21 days notice has been given personally, or by post or by electronic mail.
If upon the winding up or dissolution of CMD there remains after the satisfaction of all its debts and liabilities any property whatsoever, the same shall be transferred and paid to the Dublin and Glendalough Diocesan Councils.
This governing document shall come into operation on 12 September 2012.
